These Terms of Service govern access to and use of the Hanna Group website, software platforms, managed services, subscriptions, consulting services, implementation services, and related offerings, collectively referred to as the “Services.”
By accessing, purchasing, subscribing to, using, or continuing to use the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.
Hanna Group LLC, referred to in these Terms as “Hanna Group,” “we,” “us,” or “our,” provides subscription-based software services, managed platform services, consulting services, implementation services, automation services, AI-supported workflow services, website services, hosting services, CRM services, communication services, and related business systems.
Services may include SaaS products, managed software environments, white-label platform services, websites, funnels, forms, calendars, automations, CRM configurations, communication systems, integrations, hosting, security, performance configuration, consulting, advisory services, implementation services, support, and related operational services.
Hanna Group does not guarantee specific business outcomes, revenue, lead volume, sales, profitability, operational results, or financial performance.
You must be at least 18 years old to use the Services.
If you access or use the Services on behalf of a business, organization, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms.
You are responsible for maintaining the confidentiality of all account credentials, access credentials, authentication methods, and authorized users associated with your account. You are responsible for all activity conducted through your account, including activity by employees, contractors, agents, vendors, representatives, or other users you authorize.
For purposes of these Terms, the following definitions apply:
Client, “you,” and “your” mean the customer, subscriber, account holder, business, organization, or authorized representative using or purchasing the Services.
Client Content means content, information, materials, files, images, videos, logos, branding, copy, business information, product information, service information, website content, marketing content, customer-facing content, documents, uploaded files, and other materials provided by you or uploaded into the Services.
Client Data means data, records, files, submissions, communications, transactions, contacts, users, leads, customers, prospects, appointments, messages, forms, orders, activity records, analytics, account records, business records, and other information submitted, uploaded, collected, processed, stored, transmitted, or generated through your use of the Services.
Hanna Group Technology means all technology, systems, software, configurations, tools, processes, templates, workflows, automations, documentation, scripts, methods, frameworks, designs, operational systems, hosting infrastructure, security configurations, performance configurations, white-label systems, reusable code, internal dashboards, integrations, deployment methods, and platform components used, created, owned, licensed, or controlled by Hanna Group.
Managed Services means services provided, hosted, configured, operated, supported, or maintained by Hanna Group, including websites, hosting, software platforms, CRM systems, automation systems, communication systems, AI-supported systems, funnels, forms, calendars, workflows, integrations with client-owned payment processors, marketing systems, and related advisory, implementation, support, and operational services.
Third-Party Services means platforms, tools, software, applications, plugins, payment processors, domain registrars, DNS providers, email providers, CRM providers, hosting providers, communication providers, analytics tools, advertising platforms, AI tools, or other third-party systems used in connection with the Services.
Agency Licenses means licenses, subscriptions, developer accounts, reseller accounts, white-label accounts, master accounts, agency accounts, API credentials, license keys, or similar access rights owned, leased, licensed, purchased, or controlled by Hanna Group and used to provide the Services to one or more clients.
Export Package means a reasonable export of transferable Client Content and Client Data, as determined by Hanna Group, excluding Hanna Group Technology, Agency Licenses, internal systems, proprietary configurations, credentials, license keys, security methods, and non-transferable components.
Transition Assistance means any work performed by Hanna Group to assist with export, migration, transfer, documentation, coordination, third-party handoff, DNS changes, domain coordination, hosting transition, system review, data preparation, or support related to moving services away from Hanna Group.
These Terms explain our obligations to you and your obligations to us in relation to the Services provided or to be provided by Hanna Group.
By purchasing, subscribing to, accessing, or using the Services, you agree to establish and maintain an account with Hanna Group for such Services.
These Terms, together with any applicable order form, invoice, subscription checkout, statement of work, proposal, written agreement, service description, or policy referenced by Hanna Group, constitute the agreement between you and Hanna Group.
No oral statement, informal message, verbal discussion, text message, or course of dealing modifies these Terms unless confirmed in a written agreement approved by Hanna Group.
The Services are provided “as is” and “as available,” with no warranty of any kind, expressed or implied, except where expressly required by law. Hanna Group disclaims any warranty of merchantability, fitness for a particular purpose, uninterrupted operation, error-free operation, compatibility, availability, revenue generation, business performance, or specific outcome.
You agree that you are entering into these Terms based on your own review, judgment, and decision, and not based on any warranty, representation, promise, or guarantee not expressly stated in writing by Hanna Group.
Access to certain Hanna Group Services is provided on a subscription basis. Subscription access remains active only while the subscription is active and in good standing.
Features, limits, access levels, usage rights, support levels, and included services are determined by the plan, product, subscription, proposal, invoice, checkout page, or written agreement applicable to your account.
Hanna Group may modify, improve, replace, remove, rename, consolidate, or discontinue features, tools, configurations, workflows, templates, integrations, platform components, or service components at any time for operational, technical, commercial, security, vendor, compliance, or business reasons.
Certain Services may include consulting, implementation, advisory, support, configuration, or setup services.
Consulting and implementation services require timely participation, accurate information, system access, approvals, content, credentials, and decision-making by the client. Hanna Group is not responsible for delays, defects, failures, missed deadlines, or incomplete work caused by lack of access, lack of information, client non-responsiveness, third-party delays, incomplete approvals, or client-side issues.
Consulting and implementation services do not replace client ownership, management responsibility, regulatory compliance, internal oversight, business execution, or operational decision-making.
References to specific service types, systems, tools, access rights, exports, or support categories do not mean such items are included with every Service. Hanna Group provides only the Services expressly included in the applicable plan, invoice, checkout, proposal, order form, statement of work, or written agreement.
Hanna Group does not guarantee revenue growth, lead volume, sales volume, profitability, conversion rates, appointment volume, business outcomes, search engine rankings, advertising performance, customer behavior, third-party platform availability, automation performance beyond documented scope, or specific operational, financial, or marketing results.
Results depend on factors outside Hanna Group’s control, including client execution, market conditions, staffing, pricing, offers, sales process, reputation, customer behavior, third-party platforms, advertising spend, data quality, and business operations.
You agree to:
Provide accurate, complete, and timely information
Maintain accurate account, billing, and contact information
Participate in onboarding, reviews, approvals, and decision-making when required
Provide access, credentials, assets, and information needed to perform the Services
Assign internal ownership when required
Review and approve materials, configurations, content, and deliverables when requested
Follow documented processes, recommendations, and operational requirements
Maintain legal rights to all Client Content and Client Data you provide
Maintain compliance with applicable laws, regulations, industry rules, and platform policies
Maintain your own third-party accounts where applicable
Maintain security of your own devices, users, passwords, accounts, and internal systems
You are solely responsible for the accuracy, legality, ownership, permissions, compliance, and appropriateness of all Client Content and Client Data.
Hanna Group is not responsible for errors, omissions, misstatements, legal violations, copyright violations, trademark violations, regulatory violations, inaccurate information, unauthorized materials, or improper use of Client Content or Client Data supplied by you or your representatives.
You retain ownership of Client Content and Client Data that you provide to Hanna Group or that is collected through your use of the Services, subject to these Terms and any applicable legal, contractual, technical, billing, security, or operational requirements.
By using the Services, you grant Hanna Group the right to host, store, access, process, transmit, display, modify, organize, configure, back up, secure, and otherwise use Client Content and Client Data as necessary to provide, operate, support, secure, bill, improve, troubleshoot, and maintain the Services.
Hanna Group does not claim ownership of your business name, logo, brand assets, customer records, contact records, uploaded media, written content, submitted files, business records, transaction records, communications, or other client-provided or client-owned business materials.
All Hanna Group Technology remains the sole property of Hanna Group or its licensors. No title, ownership interest, intellectual property right, license, or other right in Hanna Group Technology is transferred to you unless expressly stated in a written agreement signed by Hanna Group.
The Services are provided as managed services and/or platform access. You are purchasing access to and use of the Services during the applicable subscription or service term. You are not purchasing Hanna Group Technology, internal systems, infrastructure, software, source code, reusable code, templates, workflows, automation logic, agency accounts, license keys, platform credentials, security configurations, hosting architecture, deployment systems, or operational methods.
Any materials, systems, configurations, automations, workflows, documentation, templates, scripts, processes, or methods created by Hanna Group that are not Client Content or Client Data remain Hanna Group Technology, even if used to provide services to a specific client.
Hanna Group may provide Services through managed platforms, white-label platforms, hosted environments, third-party systems, proprietary systems, or a combination of these.
You acknowledge that certain Services may depend on Hanna Group’s internal infrastructure, agency accounts, white-label environments, managed hosting systems, security layers, automation systems, CRM configurations, communication tools, and other non-transferable components.
Unless expressly agreed in writing, access to the Services does not include access to Hanna Group’s master accounts, agency accounts, white-label provider accounts, internal dashboards, server access, file-system access, direct database access, infrastructure credentials, security platforms, deployment systems, license accounts, source code repositories, internal documentation, or other infrastructure-level access.
Where Hanna Group provides hosting, managed hosting, platform hosting, or related infrastructure, such hosting is provided as a managed service unless expressly stated otherwise in writing. Managed hosting does not include ownership of servers, raw hosting accounts, unrestricted hosting control, or direct infrastructure access.
Hanna Group may use servers, cloud providers, data centers, CDN providers, caching systems, monitoring tools, security systems, recovery tools, and other infrastructure components where applicable. Use of backup, recovery, or infrastructure tools does not guarantee backup availability, restoration, or data recovery unless expressly agreed in writing.
Hanna Group may modify, update, suspend, restrict, disable, migrate, replace, or remove any portion of the Services when necessary for maintenance, security, billing, non-payment, abuse prevention, platform stability, legal compliance, service improvement, vendor changes, system changes, or operational needs.
Temporary interruptions, maintenance windows, degraded performance, platform changes, vendor outages, third-party failures, DNS propagation, caching delays, update requirements, or other service disruptions may occur. Hanna Group is not liable for damages, losses, lost profits, lost opportunities, loss of goodwill, loss of data, business interruption, or other harm arising from such events, except to the extent expressly required by law.
The Services may involve Third-Party Services, including but not limited to domain registrars, DNS providers, email providers, payment processors, CRM platforms, hosting systems, plugin providers, software vendors, communication providers, analytics providers, advertising platforms, automation tools, and AI tools.
You are responsible for maintaining ownership, access, credentials, billing, compliance, and security for any Third-Party Services owned or controlled by you.
Hanna Group may assist with configuration, connection, setup, or integration of Third-Party Services. Such assistance does not make Hanna Group the owner, administrator, guarantor, custodian, or permanent support provider for those Third-Party Services unless expressly agreed in writing.
Hanna Group is not responsible for losses, outages, data issues, access issues, billing issues, security issues, policy enforcement, account suspension, account termination, API changes, vendor changes, rate limits, service interruptions, or other problems caused by Third-Party Services.
Some Services may use Agency Licenses controlled by Hanna Group. Agency Licenses are provided for use only while you remain subscribed to and in good standing with Hanna Group, and only as part of the applicable Services.
Agency Licenses are not transferable to you and do not entitle you to receive license keys, agency account access, developer account access, reseller account access, white-label account access, master account access, API credentials, or subscription rights after cancellation, expiration, suspension, or termination.
If you leave Hanna Group or move services to another provider, you are responsible for purchasing, licensing, configuring, and maintaining any third-party tools, plugins, software, subscriptions, or services needed to operate your systems outside of Hanna Group.
Hanna Group may provide a list of third-party tools, services, or dependencies where reasonable and technically feasible. Hanna Group is not required to provide license keys, credentials, internal account access, proprietary settings, or non-transferable configurations.
Unless expressly agreed in writing, work created, configured, or implemented by Hanna Group is licensed for internal client use only during the applicable service term and only in connection with the Services.
Client-specific materials that are clearly Client Content or Client Data may be made available to you in a reasonable export format, subject to these Terms.
Hanna Group retains all rights to reusable components, libraries, snippets, templates, frameworks, workflows, automation logic, system architecture, security logic, internal tools, service configurations, deployment methods, design systems, integration methods, operational processes, and other Hanna Group Technology, even if such components are used in connection with a client project.
No work performed by Hanna Group may be copied, resold, republished, redistributed, sublicensed, reverse engineered, used to create a competing service, transferred to another provider, or separated from the Services except as expressly permitted in writing by Hanna Group.
Support and maintenance services are provided only within the scope of your active plan, subscription, or written agreement.
Unless expressly included in writing, support and maintenance do not include redesigns, rebuilds, replatforming, migrations, third-party handoffs, custom development, new integrations, new automation logic, recovery after cancellation, restoration after non-payment, repair of client-caused issues, cleanup of third-party changes, DNS management, email administration, payment processor administration, legal compliance review, data reconstruction, or work outside the documented scope of the Services.
Hanna Group may charge additional fees for work outside the included scope, including but not limited to restoration, export, transition, migration, emergency support, troubleshooting caused by third-party systems, custom development, documentation, training, system review, license reactivation, license repurchase, data preparation, or technical coordination.
You may request an Export Package of transferable Client Content and Client Data. Hanna Group will determine, in its reasonable discretion, what materials are transferable and what export format is appropriate based on the nature of the Services, technical feasibility, security requirements, third-party limitations, billing status, and account standing.
Export Packages may include transferable Client Content and Client Data where applicable and technically feasible, including uploaded media, website content, CRM records, contact lists, form submissions, appointment records, communication records, transaction records, order records, files, documents, reports, or other client-owned business data.
Export Packages do not include Hanna Group Technology, Agency Licenses, license keys, platform credentials, internal systems, internal documentation, internal workflows, agency account access, master account access, server credentials, source code repositories, proprietary code, reusable code, automation blueprints, security configurations, performance configurations, hosting architecture, deployment systems, monitoring systems, API keys owned by Hanna Group, or other non-transferable components.
Hanna Group may sanitize, redact, restrict, or exclude information from any Export Package to protect security, privacy, proprietary information, internal systems, third-party rights, credentials, API keys, license keys, and platform integrity.
Export, migration, documentation, technical coordination, DNS support, third-party handoff, transition planning, and similar Transition Assistance are billable unless expressly included in a written agreement. Hanna Group may require payment of outstanding balances, transition fees, restoration fees, export fees, or support fees before beginning or completing Transition Assistance.
Hanna Group does not guarantee that exported materials will function outside Hanna Group’s environment. The receiving provider is responsible for configuring, licensing, securing, hosting, testing, and operating any exported materials. Hanna Group is not responsible for loss of functionality, degraded performance, incompatibility, missing third-party licenses, broken integrations, security issues, email issues, DNS issues, payment processor issues, automation failures, data loss, or business interruption after export, migration, transfer, or operation outside Hanna Group’s environment.
Services are billed on a subscription, recurring, one-time, project, annual, prepaid, or usage basis depending on the plan, invoice, checkout, proposal, order form, or written agreement.
By purchasing a subscription or recurring service, you authorize Hanna Group and its payment processors to charge the payment method on file on a recurring basis until cancellation is properly completed.
Services are billed in advance unless otherwise stated. You are responsible for all charges, fees, taxes, and costs associated with your account.
You are responsible for maintaining accurate billing information and a valid payment method on file. If payment fails, Hanna Group may suspend, restrict, disable, or terminate access to Services until payment is resolved.
Hanna Group may attempt to collect failed payments, outstanding balances, taxes, fees, restoration costs, transition fees, export fees, and other amounts owed using any payment method on file, invoicing, collections, or other lawful methods.
Hanna Group reserves the right to collect amounts owed at any time during or after the term of service. Payment plans, delayed payments, or partial payments do not waive Hanna Group’s right to collect the full amount owed.
All SaaS subscriptions are non-refundable unless expressly stated otherwise in writing.
Subscriptions may be cancelled according to the cancellation process made available by Hanna Group. Cancellation prevents future charges but does not result in refunds or credits for unused time.
Access may continue through the end of the current paid billing period unless suspended, terminated, or otherwise restricted under these Terms.
Fees for consulting, implementation, advisory, setup, configuration, development, support, project services, or other professional services are non-refundable once services begin.
Work performed, strategy delivered, system configurations, automations, workflows, consulting, implementation, and service delivery cannot be reversed. Refunds are not issued based on outcomes, performance, expectations, or business results.
Payments for annual, prepaid, or fixed-term subscriptions are non-refundable once processed unless expressly stated otherwise in writing. Early cancellation does not result in a refund or credit.
Cancellation, suspension, expiration, or termination does not relieve you of payment obligations already incurred. All unpaid invoices, outstanding charges, taxes, fees, restoration fees, transition fees, export fees, support fees, or other amounts owed remain due and collectible.
Unauthorized chargebacks, payment reversals, disputed charges, repeated failed payments, or abusive payment disputes may result in immediate suspension, restriction, or termination of Services while the matter is reviewed.
If you dispute, reverse, charge back, or fail to pay amounts owed, Hanna Group may immediately suspend or terminate Services, restrict access, withhold Transition Assistance, withhold Export Packages, disable platform access, or require payment through verified funds before restoring access or providing further service.
Repeated or abusive disputes may result in permanent termination of Services. Termination does not waive amounts owed.
Hanna Group may suspend, restrict, disable, or terminate access to Services if payment obligations are not met, if you violate these Terms, if use of the Services creates operational or security risk, if required by law, if required by a third-party provider, or if continued service delivery is not commercially, technically, or operationally reasonable.
After cancellation, expiration, suspension, or termination, Hanna Group is not obligated to maintain, renew, preserve, reactivate, repurchase, or continue any licenses, hosting resources, agency licenses, third-party subscriptions, service configurations, backups, data, content, integrations, workflows, automations, security settings, or platform components.
Data retention after cancellation, expiration, suspension, or termination is provided at Hanna Group’s discretion and for operational convenience only. Hanna Group may delete, archive, purge, restrict, or disable access to Client Content, Client Data, backups, configurations, and related materials after cancellation, expiration, suspension, or termination, subject to applicable law and any written agreement.
If you request reactivation after cancellation, expiration, suspension, or termination, Hanna Group may require payment of outstanding balances, reactivation fees, restoration fees, license repurchase costs, third-party fees, technical review fees, and any other amounts required to restore service.
Hanna Group does not guarantee that Services can be restored after cancellation, expiration, suspension, or termination. Hanna Group may decline reactivation if restoration is not technically, operationally, legally, commercially, or security-wise reasonable.
Hanna Group may require identity verification, written authorization, account-holder confirmation, payment confirmation, ownership confirmation, or other verification before making account changes, transferring materials, processing cancellation, providing exports, modifying access, changing billing, assisting with migration, releasing data, or communicating with third parties.
Hanna Group is not required to act on instructions from individuals who are not verified account holders, authorized representatives, or approved contacts.
You are responsible for ensuring that your representatives, employees, contractors, vendors, IT providers, consultants, and agents have appropriate authority.
Hanna Group may rely on instructions from verified or authorized contacts and is not responsible for disputes between you and your representatives.

Hanna Group applies reasonable administrative, technical, and organizational safeguards to protect Client Data. No system, transmission method, storage method, platform, or service is guaranteed to be secure.
Hanna Group does not guarantee absolute security of data.
You are responsible for managing internal access, credentials, user permissions, third-party accounts, devices, passwords, and security practices on your side.
Hanna Group is not responsible for data breaches, unauthorized access, security incidents, data loss, or compliance failures caused by client-side actions, client representatives, third-party platforms, compromised credentials, user error, improper permissions, insecure devices, or third-party service failures outside Hanna Group’s control.
You agree not to disclose Hanna Group’s confidential information, including internal systems, workflows, automations, non-public pricing structures, platform configurations, business processes, security methods, credentials, documentation, templates, source materials, or proprietary methods, except as expressly authorized in writing.
Certain Services may include automation, AI-supported workflows, AI-generated content, AI-assisted analysis, AI-supported communication, AI-supported data processing, or automated system behavior.
Automation and AI are intended to support efficiency and consistency and do not replace human judgment, legal review, compliance review, professional advice, management responsibility, customer service oversight, or business decision-making.
Automated systems and AI-supported systems may produce errors, omissions, inaccurate outputs, incomplete outputs, unexpected behavior, or inappropriate outputs.
You are responsible for reviewing, approving, monitoring, and supervising automation and AI-supported workflows used in your business.
Hanna Group is not liable for outcomes resulting from misuse, misconfiguration, overreliance, lack of oversight, third-party AI behavior, platform limitations, data quality issues, or client-side implementation decisions.
By providing contact information to Hanna Group, you authorize Hanna Group to send service-related communications, billing notices, account updates, operational messages, appointment communications, support messages, and other communications related to the Services.
If you opt in to receive SMS communications, Hanna Group may send text messages related to appointments, service notifications, billing, account updates, support, or time-sensitive service matters.
Message frequency may vary. Standard message and data rates may apply. You may opt out of SMS communications by replying STOP, where supported. Reply HELP for assistance, where supported.
Opting out of non-essential communications does not prevent Hanna Group from sending legally required, transactional, billing, security, or account-related communications where permitted by law.
You may not use the Services for unlawful, abusive, harmful, fraudulent, deceptive, infringing, harassing, threatening, obscene, defamatory, malicious, or unauthorized purposes.
You may not use the Services to:
Violate laws, regulations, or third-party rights
Send unlawful spam or unauthorized communications
Upload malicious code, malware, viruses, or harmful files
Misrepresent your identity, business, products, services, or authority
Infringe intellectual property rights
Access systems, accounts, data, or networks without authorization
Interfere with service stability, performance, availability, or security
Abuse, harass, threaten, or mistreat Hanna Group staff, contractors, agents, vendors, or representatives
Reverse engineer, copy, resell, exploit, or misuse Hanna Group Technology
Use the Services to create, support, or enhance a competing service without written permission
Circumvent billing, access controls, security controls, usage limits, or platform restrictions
You and your representatives must communicate with Hanna Group staff, contractors, agents, vendors, and representatives in a professional manner.
Hanna Group may suspend, restrict, or terminate Services if client conduct is abusive, threatening, harassing, deceptive, unlawful, disruptive, or creates unreasonable operational burden, security risk, reputational risk, or service delivery risk.
Hanna Group may refuse support, migration assistance, transition assistance, account access changes, or other work where the request creates security risk, legal risk, operational risk, third-party risk, or exceeds the scope of the Services.
All materials provided, developed, configured, maintained, or made available by Hanna Group, including frameworks, documentation, SOPs, templates, training materials, workflows, automations, scripts, configurations, strategic assets, software logic, service methods, reusable components, and Hanna Group Technology, remain the intellectual property of Hanna Group unless otherwise agreed in writing.
Materials may be used internally by you only as permitted by your active subscription, service plan, or written agreement.
You may not copy, distribute, resell, disclose, transfer, sublicense, repurpose, reverse engineer, reproduce, publish, modify, or use Hanna Group intellectual property outside the Services without prior written consent from Hanna Group.
No title or ownership interest in Hanna Group intellectual property is transferred to you unless expressly stated in a written agreement signed by Hanna Group.
The Services or Hanna Group website may contain links to third-party websites, resources, platforms, tools, or services.
Hanna Group is not responsible for the content, security, availability, accuracy, privacy practices, policies, conduct, or performance of third-party websites or external services.
Use of third-party websites and services is at your own risk and may be governed by separate terms and policies from those third parties.
To the maximum extent permitted by law, Hanna Group is not liable to you or any other person for indirect, incidental, consequential, exemplary, punitive, special, or similar damages, including loss of profit, lost revenue, lost opportunity, loss of goodwill, loss of data, loss of files, business interruption, reputational harm, or inability to use the Services.
Hanna Group disclaims liability arising from access delays, access interruptions, service interruptions, platform outages, third-party failures, data non-delivery, improper data delivery, unauthorized access, misuse of account information, errors, omissions, misstatements, deletion or failure to store data, email issues, communication failures, hosting issues, platform limitations, browser limitations, software incompatibility, hardware failure, network failure, automation failure, AI output, security incidents outside Hanna Group’s control, or any other condition not under Hanna Group’s sole control.
Total liability for any claim related to the Services is limited to the amount paid to Hanna Group by you in the twelve months preceding the claim.
Services are used at your own risk.
You agree to indemnify, defend, and hold harmless Hanna Group, its owners, officers, employees, contractors, agents, affiliates, vendors, and representatives from any claims, damages, losses, liabilities, costs, expenses, attorneys’ fees, demands, or proceedings arising from or related to:
Your use or misuse of the Services
Your violation of these Terms
Your violation of any law, regulation, or third-party right
Client Content or Client Data
Your business operations, representations, products, services, or customer interactions
Your third-party accounts, vendors, platforms, services, or integrations
Your instructions, approvals, omissions, delays, or decisions

You agree to waive all rights to pursue legal action against Hanna Group except as expressly permitted under these Terms.
Any and all disputes, claims, controversies, or disagreements relating to the Services, these Terms, any account, any payment, any obligation, or any relationship with Hanna Group shall be resolved through binding arbitration.
An arbitrator will be selected by Hanna Group. Unless Hanna Group determines otherwise, the arbitrator shall be located within fifteen miles of a Hanna Group office or principal business location.
You agree that arbitration shall be conducted with the intention of resolving the disputed obligation within the terms and conditions of these Terms and any related written agreements.
You agree that any arbitration proceeding shall not exceed a four-hour time interval unless Hanna Group agrees otherwise in writing.
You agree that disputes may only be brought on an individual basis. You may not bring claims as a plaintiff or class member in a class action, consolidated action, representative action, or collective proceeding.
You agree that any claim must be brought within one year after the event giving rise to the claim, unless a shorter period is permitted by law or a longer period is expressly required by law.
Hanna Group may seek injunctive relief, collection remedies, account recovery, payment enforcement, intellectual property protection, or emergency relief in any court or forum it determines appropriate, without waiving arbitration rights.
For the protection of Hanna Group’s employees, contractors, agents, representatives, vendors, and associated parties, no claim, demand, action, complaint, or proceeding shall be brought or maintained against any Hanna Group employee, contractor, agent, representative, vendor, or associated party for actions taken within the scope of their role or in connection with the Services.
Any dispute involving a Hanna Group employee, contractor, agent, representative, vendor, or associated party shall be resolved through Hanna Group only.
These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.
Unless otherwise required by law or subject to arbitration under these Terms, any permitted court proceeding shall be brought in the state or federal courts located in Texas in the county where Hanna Group’s principal office is located.
Hanna Group may update these Terms at any time.
Updates will be posted on the Hanna Group website with a revised “Last Updated” date.
Continued access to or use of the Services after updated Terms are posted constitutes acceptance of the updated Terms.
If you do not agree to the updated Terms, you must stop using the Services and cancel any applicable Services according to the cancellation process.
